CBN Moves to Tighten Rules for Financial Holding Companies

The Central Bank of Nigeria has opened a fresh review of the rules governing financial holding companies, in a move aimed at strengthening oversight of banking groups and reducing risk within related entities.

Premium Times reported that the apex bank disclosed the plan in a circular signed by Rita Sike, director of the Financial Policy and Regulation Department. The circular invited stakeholders to send comments on the proposed guidelines by July 9.

The review follows years of implementation of the existing framework, which was introduced in 2014 to manage risks from non-core banking activities within banking groups. According to the report, the CBN said it had identified areas in the current guidelines that require enhancement to improve operational effectiveness and regulatory supervision.

Vanguard’s coverage highlighted one of the stronger governance angles, reporting that linked financial entities would be barred from extending loans to one another under the proposed framework. That provision would be significant for risk control because it targets transactions inside connected corporate structures.

Financial holding companies sit above banking and non-banking subsidiaries, making them important to how large financial groups manage capital, governance, and risk. Weak oversight in such structures can create hidden exposures, especially where related-party transactions are not tightly monitored.

The proposed revision therefore points to a wider push by the CBN to keep the financial system stable as banks and related institutions expand across payments, asset management, insurance, and other non-core businesses.
